Applicable law
This contract, and all services provided under it, are governed exclusively by the law of the country in which the organiser is established, namely Italian law.

GENERAL TERMS AND CONDITIONS OF SALE
(ai sensi del D.Lgs. 79/2011 e s.m.i.)

1. Identification of the organiser
The travel packages and tailor-made tourist services offered by Karlitalia S.r.l. are bespoke journeys designed according to the specific requests of the client or of the intermediary travel agency. The information, descriptions and proposals published on the website www.grecia365.it
 are purely illustrative and indicative, and do not constitute a public offer within the meaning of Article 1336 of the Italian Civil Code.
The economic conditions and the services included are defined and confirmed on a case-by-case basis at the time of booking or of the personalised quotation.

Karlitalia also operates under the commercial brands Grecia365, Incentive System, Exclusive Greece, Outdoor Experience Travel, Karlitalia Italy, and other brands within the Karlitalia Tour Operator group.

2. Purpose of the contract
Karlitalia S.r.l. (hereinafter “the Organiser”) designs and provides tailor-made travel and package holidays consisting of a combination of at least two different types of tourist services (transport, accommodation, ancillary services) pursuant to Article 33 of Legislative Decree 79/2011.
The characteristics, services included and financial terms of each journey are defined upon the traveller’s specific request and reconfirmed at the time of booking.
Services may be provided directly by Karlitalia or by carefully selected local partners (e.g., airlines, ferry companies, accommodation providers, or local service operators), each with its own contractual and operational conditions.
In certain cases, Karlitalia may provide individual tourist services (such as accommodation or day excursions); such services do not constitute a package holiday and are governed by the specific terms of the relevant supplier.

3. Legal sources
The contract is governed by:
– Legislative Decree 79/2011 (Codice del Turismo) and its subsequent amendments (Legislative Decree 62/2018);
– the Italian Civil Code (Articles 1321 et seq.);
– EU Directive 2015/2302 and EU Regulations on travellers’ rights (Reg. EC 261/2004, Reg. EU 1177/2010, Reg. EU 181/2011);
– and any other applicable regional or national provisions.

4. Definitions
Traveller: any person who intends to conclude or concludes a package travel contract or a linked travel arrangement.
Organiser: Karlitalia S.r.l., which combines and sells tailor-made package holidays.
Tourist service provider: any entity that autonomously provides a transport, accommodation or ancillary service.
Package travel contract: the agreement binding the organiser and the traveller to the purchase of a combination of tourist services under the applicable law.

5. Pre-contractual information
Before concluding the contract, the organiser shall provide the traveller with all mandatory information required by Article 34 of the Codice del Turismo, including:
– destination, itinerary, duration and travel dates;
– means of transport, schedules, and points of departure and return;
– type and official category of accommodation and included meals;
– language of the services and level of accessibility;
– total price and payment arrangements;
– applicable cancellation and modification conditions.

The information provided prior to the conclusion of the contract forms an integral part of the present agreement, without prejudice to any amendments made necessary by technical or operational requirements, or by extraordinary and unavoidable circumstances (such as flight schedule changes, ferry timetables, weather conditions, or orders issued by local authorities).
Such changes do not constitute a substantial modification of the package, unless they significantly affect the overall enjoyment of the trip.
In such cases, the organiser undertakes to promptly notify any changes and, where possible, to ensure services of equivalent or higher value than those originally agreed.

Upon request, the organiser shall provide information on the accessibility of services and facilities included in the trip, as well as on any limitations or specific needs related to reduced mobility or personal circumstances.
Karlitalia ensures that the traveller has access to direct contact channels (telephone and email indicated in the travel documents) for any assistance or information before and during the journey.

6. Price and payment methods
The prices of tailor-made journeys are dynamic and depend on the conditions and availability of individual suppliers at the time of confirmation. Any variations in fares, airport taxes, fuel costs, or exchange rates may result in a price adjustment, which shall be notified no later than 20 days prior to departure.
At the time of booking, a deposit indicated in the confirmation is required; the balance must be received within the specified deadlines. Failure to pay the balance shall be deemed withdrawal by the traveller and shall result in the application of the relevant cancellation penalties.

7. Amendments and cancellations
The organiser may modify certain aspects of the trip when necessary for operational, logistical or extraordinary reasons. In such cases, equivalent or superior alternative solutions will be offered; if the traveller justifiably refuses these, he/she shall be entitled to a refund of the amounts paid.
In case of cancellation due to extraordinary circumstances under Article 41(4) of the Codice del Turismo, the traveller is entitled to a refund in cash unless he/she voluntarily accepts a guaranteed voucher of equal value, valid for 12 months and secured against insolvency.
The traveller may withdraw at any time before departure by reimbursing the organiser for management costs and the penalties applied by the suppliers involved, as stated in the quotation or confirmation.

8. Liability of the organiser
Karlitalia is responsible for the proper performance of the package as a whole, in accordance with Articles 42–48 of the Codice del Turismo, except when non-performance is attributable to the traveller, to third parties unconnected with the provision of the services, or to force majeure and extraordinary and unavoidable circumstances.
If a service cannot be provided as planned, the organiser shall offer, at no extra cost, an alternative of equivalent or higher value.
If this is not possible or if the traveller justifiably refuses it, a refund proportionate to the value of the unused service shall be granted, without further compensation.
Any compensation for economic or non-personal damage shall be proportionate to the actual loss suffered and, except in cases of wilful misconduct, gross negligence, or personal injury, shall in any case not exceed three times the total price of the package.
The organiser’s professional civil liability is covered by an adequate insurance policy with UnipolSai S.p.A. – policy no. 162522987 – in compliance with Article 50 of Legislative Decree 79/2011 (Codice del Turismo).
The organiser shall provide the traveller with appropriate assistance in case of difficulty, including adjustments to the stay or repatriation, within the limits and under the conditions established by law.

9. Traveller substitution
The traveller may be replaced by another suitable person, provided that notice is given on a durable medium within a reasonable period before departure, consistent with the technical times required for the reprocessing of services (ticket issuance, reconfirmation of bookings, insurance updates).
Substitution may not be possible for certain nominal services (e.g., issued flight tickets or insurance), to which the conditions of the respective providers shall apply.
The organiser may charge the actual and documented costs incurred for the substitution, in accordance with Article 38 of the Codice del Turismo.
The transferring traveller and the substitute shall be jointly and severally liable for payment of the balance and any additional expenses resulting from the transfer.

10. Complaints and reports
Any lack of conformity in the performance of the contract must be immediately reported to the organiser or, if the trip was purchased through an intermediary agency, directly to such agency, in order to enable corrective action during the trip.
Formal complaints or refund requests must be submitted on a durable medium (email, PEC, or written communication) within 10 days of return, using the same channel or address used for booking management.
To ensure proper assessment, each report must be specific and supported by objective evidence (photos, videos, documents). The organiser shall examine each complaint after verification with its local partners and collaborators, and shall respond within a reasonable period depending on the complexity of the inquiry.

11. Guarantee Fund
Karlitalia is a member of the FOGAR Guarantee Fund – FIAVET Vittoria Assicurazioni no. 631.36.931094, which ensures, pursuant to Article 47 of the Codice del Turismo and applicable EU legislation, reimbursement of payments made, coverage of any vouchers issued, and, where necessary, repatriation of travellers in the event of the organiser’s insolvency or bankruptcy.
The guarantee is effective, proportionate to the company’s business volume, and covers reasonably foreseeable costs of assistance and repatriation.

12. Optional insurance
Pursuant to Article 34 of the Codice del Turismo, the traveller is informed of the possibility to take out insurance covering cancellation, accident, illness or loss of luggage.
Where the registration and handling fee includes basic medical, baggage, and cancellation insurance, this will be explicitly indicated in the travel documents or quotation.
Such coverage has limited ceilings and does not replace any additional or extended insurance recommended for broader protection.
The traveller is advised to carefully review the policy limits, exclusions, and conditions and, if deemed appropriate, to request supplementary or customised coverage.

13. Jurisdiction and language of the contract
For any dispute relating to the interpretation or execution of this contract, the exclusive jurisdiction shall lie with the Court of Verona, Italy.
This contract is drafted in Italian; in the event of translation into other languages, the Italian text shall prevail.

14. Processing of personal data
Pursuant to Regulation (EU) 2016/679 (GDPR) and Legislative Decree 196/2003, the data provided by the traveller shall be processed by Karlitalia S.r.l., as Data Controller, for purposes related to the management of requests, quotations and travel contracts, as well as for compliance with legal, administrative and accounting obligations.
Data may be shared with the providers of tourist services involved, solely for the purpose of contract execution.
With the traveller’s express consent, data may be used for sending informational and promotional communications relating to Karlitalia/Grecia365 products and services.
Consent may be withdrawn at any time by writing to [email protected]  or by replying to the communications received.
Clients who do not wish to receive such communications may notify Karlitalia at any time by simple written request.
Processing is carried out using manual and electronic means in compliance with applicable security measures. Data are retained for the time necessary for contract performance and legal obligations.

15. Conclusion of the contract and off-premises contracts
The travel proposal becomes binding for the organiser only upon written confirmation by Karlitalia S.r.l., also by email or electronic system, and upon receipt of the required deposit.
From that moment, the contract is deemed concluded, and the organiser is authorised to purchase, on behalf of the traveller, the tourist services included in the package (flights, ferries, accommodation, experiences, and other local services).
For contracts negotiated off the business premises, pursuant to Article 41(7) of the Codice del Turismo, no right of free withdrawal applies, since these are tailor-made and personalised journeys involving the immediate purchase of non-refundable services (such as flights, ferries, hotels, and local services).
Any cancellation by the traveller shall therefore be subject to the penalties established by the suppliers and to the organisational expenses incurred by the organiser.
The booking confirmation sent by Karlitalia constitutes a valid contractual document for all legal purposes and implies full acceptance of the General Terms and Conditions of Sale.

16. Traveller’s obligations (documents, visas, health)
Before departure, the traveller must ensure that he/she holds valid travel documents (passport/identity card, visas, health certificates) and meets all entry requirements for the country of destination or transit. It is the traveller’s responsibility to consult official sources (e.g., Italian Ministry of Foreign Affairs – “Viaggiaresicuri”) and to comply with standards of prudence and diligence, as well as with the instructions provided by the organiser and local partners. Any special requests (reduced mobility, special meals, medical needs) must be communicated at the time of booking and reconfirmed within the technical timeframe required for service provision.

17. Liability of the retailer (in case of intermediation)
When the contract is concluded through an intermediary agency (retailer), the latter is responsible for fulfilling its intermediation obligations with the professional diligence required (Articles 50–51-quater of the Codice del Turismo), without prejudice to the organiser’s liability for the performance of the package.
Complaints may also be validly submitted to the retailer, who must promptly forward them to the organiser; for the purposes of limitation periods, the date of receipt by the retailer shall be deemed the date of receipt by the organiser. The traveller’s right to compensation against the retailer is subject to a limitation period of two years from the traveller’s return date.

18. Operational changes
Information regarding schedules, carriers, routes, and airports or ports of departure and arrival is indicative and subject to change according to the decisions of individual transport providers (airlines, ferry or railway companies) and the provisions of competent authorities.
Such variations, including any changes of airport or port (for example, from Treviso to Venice or vice versa), do not constitute a breach by the organiser nor grounds for refund, provided that the journey is still carried out. In case of changes communicated by carriers after confirmation of the trip, the organiser undertakes to promptly inform travellers and to assist them, within its competence, in arranging the necessary logistical adjustments.
Any refund of additional expenses (parking, transfers, overnight stays, etc.) may only be requested from the carrier responsible for the change, pursuant to Regulation (EC) No. 261/2004 or other applicable legislation. The organiser may, at its own discretion, provide operational support or alternative solutions to minimise inconvenience, without this implying recognition of liability or entitlement to further compensation.

19. Legal notice and ADR
Italian law punishes with imprisonment crimes relating to child prostitution and child pornography, even if committed abroad (Law No. 38/2006).
The organiser may make available ADR (Alternative Dispute Resolution) procedures for the amicable settlement of disputes; in any case, the European ODR platform referred to in Article 10 remains available.
